Membership for year 1 only will be from membership date to 31 December 2025.
(Future membership will be 1 January to 31December of the calendar year)

*To be eligible to be an Owner or Driver Member you must be or have been a Speedway New Zealand registered driver or owner of a section 10 speedway car that has raced at western springs within the past 3 years (F2s should register as a F2).

Constitution of the Western Springs Speedway Association Incorporated (WSSA Inc)

Name
The name of the organization shall be the Western Springs Speedway Association Incorporated (WSSA Inc).

Purpose
The purpose of the WSSA Inc is to:
1. Promote and support speedway racing at Western Springs.
2. Ensure clear, accurate, and reliable information is shared with the Auckland community, rate payers, Speedway New Zealand, and other interested parties.
3. Advocate for the continued presence of speedway at Western Springs and growth and continual operation of open wheel classes racing from this facility (Midgets, Sprintcars, TQ’s, F2 Midgets and ½ Midgets)

Membership
1. Membership is open to all individuals who support the purpose of the WSSA Inc.
2. The WSSA Inc must have a minimum of 10 members.
3. Members shall have the right to vote, attend meetings, and participate in WSSA Inc activities.

Governance
1. The WSSA Inc shall be governed by a committee of elected members.
2. The committee shall consist of a minimum of 3 elected officers: Chairperson, Secretary/Treasurer (if required) and committee members.
3. Committee members shall be elected by a majority vote of the membership at the Annual General Meeting (AGM) or Special Meeting (SM).

Terms of Office
1. The term of office for each officer shall be one year.
2. Officers may serve a maximum of five consecutive years.
3. The Chairperson may serve a maximum of six consecutive years.

Grounds for Removing an Officer
1. An officer may be removed for reasons including, but not limited to, misconduct, failure to perform duties, or actions that are detrimental to the WSSA Inc.
2. An officer may also be removed by majority vote at any AGM or SM.

Meetings
1. The WSSA Inc shall hold an Annual General Meeting (AGM) each year in the month of July.
2. Special meetings may be called by the Chairperson or by a majority of the committee members.
3. Notice of general meetings shall be given at least 10 working days in advance.
4. Motions to be voted on at a general meeting must be submitted at least 5 working days in advance.
5. A quorum at a general meeting shall be 25% of eligible members.

6. If the Chairperson is absent, a committee member must be selected prior to the meeting to act as the chairperson. If the Chairperson is unable to elect a committee member prior to the meeting, then a member elected by those present shall chair the meeting.
7. The meeting Chairperson shall have a casting vote and the power to adjourn a meeting.
8. Grounds for removing a person from the meeting include disruptive behaviour or failure to adhere to the meeting rules.
9. Meetings can be held electronically as well as in person.
10. The society may pass a written resolution in lieu of a general meeting, requiring approval by 75% of members.
11. A Special General Meeting must be called if requested by 10% of eligible members.
Committee Meetings
1. A quorum at a committee meeting shall be two-thirds of the officers.
2. The meeting Chairperson shall have a casting vote.

Membership Termination
1. The committee may pass a resolution to cease a member’s membership on grounds such as misconduct or failure to adhere to the society’s rules.

Committee
1. The committee shall consist of at least 3 members.
2. Officers shall be elected by the membership at the AGM.

Duties of Officers
1. Chairperson: Presides over meetings, represents the WSSA Inc, and ensures the execution of the association’s objectives.
2. Secretary/Treasurer: Keeps minutes of meetings, maintains records, handles correspondence, manages the finances, prepares financial reports, and oversees the budget.
3. Committee Member: Represent WSSA Inc as per the club purpose and ensure information is presented accurately. Conduct tasks as requested by the Chairperson and/or taken on roles of the Secretary/Treasurer as requested by the WSSA Inc members.

Finances
1. The fiscal year of the WSSA Inc shall be from January 1 to December 31.
2. All funds shall be deposited in a bank account in the name of the WSSA Inc.
3. Expenditures shall be approved by the Committee.

Amendments
1. This constitution may be amended by a two-thirds vote of the members present at the AGM.
2. Proposed amendments must be signed by at least 10% of eligible members and submitted to the Committee at least 20 working days before the general meeting.
3. The committee shall give notice of the proposed amendments to members at least 10 working days before the general meeting.

Dissolution
1. In the event of dissolution, any remaining assets shall be distributed to a non-profit organisation with similar purposes, as determined by the Committee. The legal name, description, or class of the not-for-profit organisation shall be specified at the time of dissolution.
